Item 7.01 Regulation FD Disclosure.

On May 3, 2024, Beneficient (the “Company”) issued a press release announcing that the Company had regained compliance with the bid price requirement set forth in Listing Rule 5550(a)(2) of The Nasdaq Stock Market, LLC, and that the Company is therefore in compliance with The Nasdaq Capital Market’s listing requirements.

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
